TERMS AND CONDITIONS OF COURIER SERVICE

These Terms and Conditions of Courier Service (“Terms”) govern the use of the website, booking platform, customer account, courier, delivery, logistics, and related services offered by Quicktime Business Solutions Co., operating under the brand Quicktime Courier (“Quicktime,” “we,” “our,” or “us”).

Please read these Terms carefully before using our services.

By creating an account, requesting or confirming a booking, submitting a shipment to Quicktime, clicking an acceptance box relating to these Terms, or otherwise using a Quicktime courier service, you acknowledge that you have read, understood, and agreed to these Terms.

2. Services

Quicktime provides courier, delivery, logistics coordination, and related services subject to destination, availability, capacity, shipment characteristics, and service eligibility.

Services may include:

Quicktime may accept or decline a booking based on operational capacity, shipment characteristics, destination, safety considerations, regulatory requirements, weather, transportation availability, or other reasonable operational grounds.

3. Online and Electronic Transactions

Bookings, confirmations, quotations, customer instructions, notices, and agreements may be created, transmitted, accepted, and retained electronically.

Electronic acceptance of these Terms, including an affirmative checkbox or similar electronic method used in Quicktime's booking system, may constitute evidence of the customer's acceptance of the applicable contractual terms.

Customers are responsible for reviewing the service information, charges, shipment details, declared value, and other information displayed before confirming a booking.

4. Customer Accounts

A customer who creates an account must:

A business account may be used only by employees, representatives, or other persons duly authorized by the account holder.

Activities performed through an authenticated account may be treated as authorized by the account holder unless Quicktime has been notified of unauthorized access.

Quicktime may suspend or restrict an account where reasonably necessary for security, fraud prevention, nonpayment, abusive activity, violation of these Terms, or violation of law.

5. Booking and Acceptance of Shipments

Submission of a booking request does not automatically require Quicktime to accept the shipment.

A booking becomes subject to Quicktime's courier service only after the booking is accepted through Quicktime's system or otherwise confirmed by an authorized Quicktime representative.

Quicktime may refuse or cancel a booking before acceptance where:

The customer or shipper is responsible for:

The customer must not intentionally misrepresent the contents, value, weight, dimensions, destination, or condition of a shipment.

Quicktime may adjust charges or decline transport if actual shipment information differs materially from the information supplied at booking.

7. Recipient Information

By providing a recipient's name, address, telephone number, or other personal information, the customer represents that such information has been lawfully obtained and may be provided to Quicktime for purposes reasonably related to pickup, transportation, delivery, tracking, communication, claims, returns, and related courier activities.

The customer should provide only information reasonably necessary for completing the delivery.

8. Packaging

The customer is responsible for ensuring that the shipment is appropriately packaged for the nature of the item and the ordinary handling associated with the selected transportation method.

Packaging should, where appropriate:

Acceptance of a shipment by Quicktime does not necessarily constitute a representation that the packaging is adequate for every transportation risk.

Quicktime may refuse inadequately packaged shipments where the packaging presents an unreasonable risk of loss, damage, leakage, contamination, or injury.

9. Inspection and Verification

To the extent permitted by law and reasonably necessary for safety, regulatory compliance, service eligibility, or investigation of suspected prohibited goods, Quicktime may request information concerning shipment contents and may require the shipper to open or permit inspection of the shipment.

Quicktime's failure to inspect a shipment does not constitute confirmation that its contents comply with these Terms.

The shipper remains responsible for the legality and accurate declaration of shipment contents.

10. Prohibited Items

Unless Quicktime expressly states otherwise in writing and all applicable legal requirements are satisfied, the following must not be tendered for shipment:

Quicktime may refuse, hold, return, or surrender prohibited items to competent authorities when legally required or reasonably necessary.

Any additional expense lawfully incurred because a customer tendered prohibited or unlawfully declared goods may be charged to the responsible customer, without prejudice to other remedies provided by law.

11. Restricted and Special-Handling Items

The following may require prior written approval, special packaging, special documentation, a dedicated service, additional charges, or may not be accepted at all:

Customers must disclose such characteristics before the shipment is accepted.

Quicktime's acceptance of a category on one occasion does not guarantee acceptance of similar shipments in the future.

12. Weight, Dimensions, and Charges

Shipping charges may depend on factors including:

Rates generated by an online calculator or preliminary quotation are estimates unless expressly confirmed as final.

Where actual shipment characteristics materially differ from the information supplied at booking, Quicktime may adjust the applicable charge before or after pickup, subject to reasonable verification.

For business accounts with a separate written quotation, service agreement, or rate card, that agreement may supplement these Terms.

Where a conflict exists, a specific written commercial agreement accepted by Quicktime and the customer may govern the matter addressed by that agreement.

13. Delivery Time Estimates

Delivery periods displayed on the website, quotations, booking confirmations, or other materials are estimated transit or delivery periods unless Quicktime expressly identifies a particular service as guaranteed in writing.

Examples may include:

Metro Manila: approximately 1–3 days

Provincial RORO/Sea: approximately 5–7 days

These periods may vary depending on:

Published delivery estimates should therefore not be interpreted as an unconditional guaranteed arrival date unless a written guaranteed-service commitment specifically provides otherwise.

Quicktime will nevertheless perform its obligations with the diligence required under applicable Philippine law.

14. Provincial and Partner-Coordinated Shipments

Quicktime may use or coordinate with authorized third-party couriers, airlines, shipping lines, trucking companies, RORO operators, provincial delivery providers, or other logistics providers to complete certain shipments.

By selecting a service requiring such transportation, the customer authorizes Quicktime to transfer the shipment and reasonably necessary shipment information to an appropriate transportation or logistics provider.

Partner-carrier schedules, service restrictions, destination coverage, packaging requirements, dangerous-goods restrictions, and operational requirements may apply.

Quicktime will not represent a partner-coordinated shipment as directly transported by Quicktime where that would be misleading.

Nothing in this section is intended to exclude any responsibility that applicable Philippine law imposes upon Quicktime.

15. Pickup

The customer must ensure that:

Pickup times may be affected by traffic, weather, customer readiness, demand, operational conditions, and other factors.

Where a rider or vehicle has already been dispatched and the customer cancels the booking, is unavailable, provides an incorrect address, or fails to release the shipment, an applicable dispatch, attempted-pickup, waiting, or cancellation charge may apply where that charge was properly disclosed.

16. Delivery

Quicktime may deliver a shipment to:

Quicktime may require reasonable proof or acknowledgment of receipt.

Proof of delivery may include a recipient name, signature, electronic confirmation, delivery photograph, time record, courier notation, or other appropriate evidence, subject to applicable privacy requirements.

17. Unsuccessful Delivery

Delivery may be considered unsuccessful where, among other circumstances:

Quicktime may contact the customer for additional instructions.

A reasonable redelivery, return-to-sender, storage, waiting, or other operational charge may apply when disclosed and applicable.

The customer is responsible for providing updated instructions promptly.

18. Return to Sender

A shipment may be returned to the sender where:

Return transportation may be charged separately unless the return resulted from a matter for which Quicktime is legally responsible.

19. Cancellation

A customer may request cancellation before pickup.

Where a rider or vehicle has not yet been dispatched and Quicktime has not incurred an operational cost, Quicktime may permit cancellation without a fee.

Once a rider or vehicle has been dispatched, has arrived at the pickup point, or operational expenses have been incurred, reasonable cancellation, dispatch, waiting, or attempted-pickup fees may apply where properly disclosed.

Once Quicktime has accepted physical custody of the shipment, a request to stop the shipment will generally be treated as a return-to-sender or rerouting request, subject to feasibility and applicable charges.

Cancellation is not guaranteed once transportation has commenced.

20. Payment

Customers must pay applicable shipping and service charges according to the payment terms shown at booking, in a quotation, invoice, business-account agreement, or other authorized Quicktime document.

Quicktime may require payment before pickup, upon billing, or according to approved business-account terms.

Overdue business accounts may be subject to remedies allowed under the applicable agreement and Philippine law.

Quicktime may suspend new bookings on accounts with undisputed overdue balances after appropriate notice.

21. Invoices and Transaction Records

Quicktime will issue invoices or other transaction documents as required by applicable Philippine law.

Customers are responsible for providing accurate billing details.

Electronic invoices and transaction records may be transmitted and retained electronically where permitted by law.

22. Declared Value

Customers may be required or permitted to declare the value of shipment contents.

The declared value must represent a reasonable and supportable value of the goods and must not be intentionally understated or overstated.

Quicktime may request invoices, receipts, purchase records, or other evidence of value when investigating a loss or damage claim.

Declared value does not by itself constitute insurance.

Any insurance, additional protection, or separately insured service will apply only when expressly offered, purchased, and confirmed in writing.

Where Philippine law permits liability to be determined with reference to the value appearing in the booking document, waybill, shipping record, or similar contract of carriage, the properly declared value may be relevant in determining recoverable loss.

Nothing in these Terms is intended to establish a limitation that is unreasonable, unjust, contrary to public policy, or otherwise prohibited by Philippine law.

23. Quicktime's Responsibility for Shipments

Quicktime recognizes that courier and transportation providers may have duties imposed by Philippine law concerning goods entrusted to them for transportation.

Quicktime does not disclaim responsibility for loss, destruction, deterioration, or damage where applicable law imposes responsibility upon Quicktime.

Any determination of liability will take into account:

No provision of these Terms shall be interpreted as reducing Quicktime's legally required standard of diligence below the level mandated by applicable law.

24. Loss or Damage Claims

A customer who believes that a shipment has been lost, damaged, partially delivered, or otherwise improperly handled should notify Quicktime as soon as reasonably possible after discovering the issue.

A claim should include, where applicable:

The customer should preserve the damaged goods and original packaging while the claim is under investigation where reasonably practicable.

Quicktime may inspect the available evidence and coordinate with any partner carrier involved.

Submission of a claim does not automatically establish liability.

Quicktime will investigate claims in good faith and determine them in accordance with the evidence, applicable contract terms, and Philippine law.

25. Amount Recoverable for Loss or Damage

Where Quicktime is legally responsible for loss or damage, the recoverable amount will be determined according to applicable Philippine law and the contractual shipping records.

Subject to applicable law and any valid declared-value agreement, recoverable direct loss will ordinarily be based on the proven actual value of the lost or damaged goods and will not exceed a valid declared value properly appearing in the applicable shipping document where such limitation is legally enforceable.

Quicktime may require reasonable proof of value.

Any contractual limitation will apply only to the extent that it is lawful, reasonable, just, consistent with public policy, and fairly agreed upon.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

26. Consequential or Indirect Loss

To the extent permitted by applicable law, Quicktime will not be responsible for purely indirect, speculative, or consequential business losses that do not represent the direct value of the shipment itself, such as lost profits or loss of a business opportunity, except where such liability cannot lawfully be excluded.

This provision does not limit statutory consumer rights or liability that applicable law prohibits Quicktime from excluding.

27. Circumstances Beyond Ordinary Control

Delivery operations may be affected by circumstances such as:

The effect of any such circumstance on Quicktime's responsibility will be determined under applicable Philippine law.

Nothing in this section eliminates any duty Quicktime may have under law to exercise appropriate diligence to prevent or minimize loss.

28. Customer-Caused Loss or Delay

Quicktime will not be responsible to the extent that loss, damage, or delay is caused by circumstances attributable to the shipper or owner, including:

other acts or omissions of the shipper or owner,

subject always to the duties that applicable law continues to impose upon Quicktime.

29. Complaints and Customer Redress

Quicktime maintains a customer complaint and redress process.

A complaint should include sufficient information to identify the relevant transaction and explain the concern.

Quicktime will acknowledge and evaluate complaints in accordance with applicable consumer and internet-transaction laws.

Where Republic Act No. 11967 or other applicable regulations govern an online transaction, Quicktime will maintain an accessible and efficient internal redress mechanism.

Nothing in these Terms prevents a customer from pursuing rights or remedies available after satisfying any mandatory internal-redress requirement imposed by law.

30. Privacy

Personal data processed through Quicktime services is handled in accordance with Quicktime's Privacy Policy, the Philippine Data Privacy Act of 2012, and applicable NPC regulations.

The Privacy Policy forms part of the information provided to customers using Quicktime's online services.

31. Website Use

Customers must not:

Quicktime may restrict access where reasonably necessary to protect customers, personnel, systems, or business operations.

32. Intellectual Property

Unless otherwise indicated, the Quicktime name, website content, designs, graphics, service descriptions, software, trademarks, logos, and other proprietary materials are owned by or lawfully used by Quicktime.

Users may not reproduce, commercially exploit, modify, or distribute protected Quicktime material without authorization, except as permitted by law.

33. Service Modifications

Quicktime may modify:

when reasonably necessary.

Changes will not retroactively alter a confirmed contractual obligation except where permitted by the applicable agreement or required by law.

34. Changes to These Terms

Quicktime may amend these Terms to reflect changes in:

Material changes affecting existing contractual rights will be handled in accordance with applicable law.

A booking will ordinarily be governed by the version of the Terms applicable when that booking is confirmed, unless otherwise lawfully agreed.

35. No Waiver

Failure by Quicktime to immediately enforce a provision of these Terms does not automatically constitute a waiver of the right to enforce that provision later.

36. Severability

If any provision of these Terms is determined by a court or competent authority to be invalid or unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

The invalid provision shall be interpreted or limited, where legally possible, in a manner that most closely reflects its lawful purpose.

37. Governing Law

These Terms and Quicktime's courier services are governed by the laws of the Republic of the Philippines.

Any dispute shall be subject to applicable Philippine laws governing contracts, transportation, consumer protection, electronic transactions, data privacy, and other relevant matters.

Nothing in these Terms deprives a customer or consumer of a mandatory right, remedy, or venue granted by Philippine law.

38. Entire Agreement

For ordinary online bookings, these Terms together with:

any specific service conditions disclosed and accepted during booking

constitute the agreement governing that shipment.

For approved business accounts, a separate signed service agreement, quotation, rate card, credit arrangement, or statement of work may supplement these Terms.

Where a specifically negotiated written agreement conflicts with these Terms, the specifically negotiated provision will govern to the extent of that conflict, subject to applicable law.
